Summary of This Role

We are seeking a highly skilled Senior Corporate Counsel to join our legal team. This role will support the company’s corporate development team and provide legal guidance on a wide range of M&A transactions. The ideal candidate will have extensive experience in all aspects of domestic and international acquisitions, divestitures, joint ventures, and other corporate transactions.  The position requires regular interaction with members of senior management teams and executive leadership.

What Part Will You Play?

M&A and Strategic Transactions

Support the company’s corporate development team in all phases of the transaction lifecycle.Conduct legal due diligence and collaborate with cross-functional teams engaged in reviewing transaction opportunities.Negotiate deal terms and draft, negotiate, and review transaction documents.Advise on legal and regulatory compliance matters, and manage required regulatory filings.Assist the corporate development team and business leaders on the integration of acquired companies.Advise on other types of strategic transactions, including capital markets transactions and complex commercial transactions.

Corporate Matters

Assist in the preparation and review of materials for senior leadership updates and Board of Director meetings.Advise corporate departments on treasury matters, subsidiary management, and intercompany transactions.Assist in managing corporate filings and maintaining corporate records.

Risk Management

Identify legal and regulatory risks, and partner with business teams to mitigate risks.Develop and implement policies and procedures to ensure compliance with applicable laws and regulations.

Collaboration and Communication

Work closely with business unit leaders and corporate departments to provide timely legal advice.Manage outside counsel engaged on M&A transactions.

What Are We Looking For in This Role?

Minimum Qualifications

Juris Doctor (JD) from an accredited law school.Admission to practice law in the relevant jurisdiction.5+ years of experience in M&A transactions and general corporate law matters, ideally in a corporate legal department or law firm setting.Experience with international and cross-border transactions.Excellent drafting, communication, and negotiation skills.Ability to advise senior leadership and work collaboratively with senior business leaders.Comfort working in a fast-paced environment.


Preferred Qualifications

Experience with technology transactions and with the IP, information security, and data privacy issues that may arise in M&A transactions.Experience working with financial regulators or working in other regulated environments.Familiarity with securities law.
