The Company Secretarial function leads, develops and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings; directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations.
We are currently seeking a high calibre professional to join our team as an Assistant Company Secretary.
Principal Responsibilities
Support the Company Secretary with governance and appointment of Board DirectorsProvide corporate governance advisory and corporate secretarial support to boards and committees, including (i) plan for and schedule meetings, and (ii) review materials submitted for meetingsPrepare and manage meeting agendas and briefing notes for chairs of boards and committees (where required), and draft minutes of meetingManage director appointment, onboarding, induction and ongoing training/development needsEnsuring compliance with Singapore company law, local regulations and best corporate governance practice and principles at all timesManage a range of relationships with key internal and external stakeholdersSupport the implementation of Group projects including simplification and digitalisation initiativesContribute to the development of procedures and control processes that comply with the HSBC Group policies and reduce operational riskContribute to process enhancements to deliver efficiencies and drive performance standards
